This Fulfilment Policy (“Policy”) outlines the processes, timelines, and conditions under which Profit Drive Pty Ltd (“Profit Drive,” “we,” “our,” or “us”) delivers its SEO, PPC, web design, and consulting services to clients (“Client,” “you,” or “your”).
By engaging with Profit Drive’s services, you agree to this Fulfilment Policy in conjunction with our Terms of Service and Privacy Policy.
1. SERVICE DELIVERY & FULFILMENT PROCESS
Profit Drive provides SEO, PPC, web design, and consulting services in a structured manner to ensure efficient fulfilment and results.
1.1 Fulfilment Timelines
- SEO Services: Initial research and strategy delivered within 14 business days of receiving all required client information. Ongoing work follows an agreed schedule.
- PPC Advertising (Google Ads, Meta Ads, LinkedIn Ads): Initial campaign setup is completed within 10 business days of receiving necessary assets. Ongoing optimisation occurs weekly or as agreed.
- Web Design & Development: Timeline depends on project scope. Average turnaround for website projects is 4-8 weeks after receiving all content and approvals.
- Consulting Services: Sessions and reports are delivered on a mutually agreed schedule.
All timelines are estimated and may vary based on client responsiveness, scope changes, and unforeseen factors.
1.2 Service Completion Criteria
A service is considered fulfilled when:
- SEO audits, keyword strategies, and optimisations have been implemented per agreement.
- PPC campaigns have been launched, monitored, and adjusted for the agreed period.
- A website has been designed, developed, and presented for client approval.
- Consulting sessions have been conducted and deliverables provided.
Clients will receive formal confirmation upon service completion.
2. CLIENT RESPONSIBILITIES & DEPENDENCIES
Fulfilment depends on the Client providing timely access, approvals, and assets.
2.1 Required Client Inputs
Clients must provide:
- Website and ad account access (Google Ads, Meta Ads, hosting credentials, domain registrar access, etc.).
- Brand materials (logos, content, images, legal disclaimers).
- Timely feedback and approvals for key deliverables.
2.2 Delayed or Missing Client Inputs
If the Client fails to provide necessary materials within 10 business days, Profit Drive may:
- Pause service fulfilment until all assets are received.
- Charge a project restart fee of 10% of the total contract value.
- Extend delivery timelines proportionally without penalty to Profit Drive.
- Terminate the agreement if delays exceed 30 days, with no refunds provided.
3. MODIFICATIONS & SCOPE CHANGES
3.1 Service Scope & Revisions
- Each service includes one (1) round of reasonable revisions within the scope of work. A revision is defined as a minor adjustment, not a fundamental change.
- Clients must request revisions within 5 business days of delivery. Requests made after this period may be subject to additional charges.
- Additional revisions are billed at:
- SEO & PPC changes: $150 per additional revision.
- Web design changes: $250 per additional round of revisions.
- Consulting amendments: Billed at the standard hourly rate.
- Profit Drive reserves the right to refuse excessive revision requests.
3.2 Client-Initiated Changes
If the Client requests significant modifications after fulfilment has started, Profit Drive reserves the right to:
- Adjust pricing to reflect the increased workload.
- Extend timelines to accommodate new deliverables.
- Decline scope changes that are incompatible with the original agreement.
Scope changes must be mutually agreed in writing before implementation.
4. NON-DELIVERY & REFUNDS
4.1 Non-Delivery Due to Client Inaction
If Profit Drive is unable to fulfil a service due to Client inaction, including failure to provide assets, approvals, or access, no refunds will be provided.
4.2 Refund Policy for Service Non-Performance
Refunds are only considered in the following cases:
- Profit Drive fails to deliver any agreed work and does not rectify the issue within 30 days.
- A legal obligation under Australian Consumer Law mandates a refund.
- Profit Drive terminates the agreement without cause, in which case a partial refund may be issued for unused prepaid services.
Dissatisfaction with service outcomes, SEO rankings, ad performance, or website results does not qualify for a refund, as marketing and development results cannot be guaranteed.
5. LATE OR DISPUTED FULFILMENT
5.1 Delays Due to External Factors
Profit Drive is not responsible for delays caused by:
- Third-party platform restrictions (e.g., Google Ads disapprovals, Facebook account suspensions).
- Hosting downtime, domain issues, or API failures from external providers.
- Force majeure events (see Section 6).
If a delay occurs due to an external factor, Profit Drive will:
- Notify the Client as soon as possible.
- Adjust project timelines accordingly.
- Offer alternative solutions where feasible.
5.2 Client Disputes Over Fulfilment
If a Client disputes service fulfilment, they must:
- Submit a written dispute within 7 business days of project completion.
- Specify which deliverables were not met and provide supporting documentation.
Profit Drive will review the dispute within 14 business days. If the claim is found valid, a resolution or adjustment will be offered.
Unresolved disputes will follow the dispute resolution process outlined in Section 8.
6. FORCE MAJEURE & SERVICE INTERRUPTIONS
Profit Drive is not liable for failure to meet fulfilment timelines due to events beyond our control, including but not limited to:
- Natural disasters, pandemics, government actions.
- Cyberattacks, data breaches, or global internet outages.
- Third-party software failures, server downtime, or regulatory changes.
In such cases, Profit Drive reserves the right to:
- Modify service timelines without penalty.
- Adjust service pricing if external costs increase by more than 15%.
- Offer an alternative fulfilment approach or terminate the agreement without refund.
7. TERMINATION & CANCELLATION
7.1 Profit Drive’s Right to Terminate
Profit Drive may terminate services immediately if:
- The Client fails to make payments within the agreed timeframe.
- The Client engages in fraudulent, illegal, or unethical activity.
- The Client violates Profit Drive’s Terms of Service or this Fulfilment Policy.
In these cases, no refunds will be provided.
7.2 Client-Initiated Cancellations
Clients must provide 30 days’ written notice for cancellations.
- Payments remain due during this notice period.
- A cancellation fee of 25% of the total project value applies if a major milestone is pending.
- No refunds will be provided for work already completed.
8. DISPUTE RESOLUTION & GOVERNING LAW
- All disputes must first go through mandatory negotiation.
- If unresolved within 30 days, disputes shall be resolved by binding arbitration in Queensland, Australia, with Profit Drive selecting the arbitrator.
- If Profit Drive prevails in any dispute, the Client must reimburse all legal and arbitration costs.
9. POLICY UPDATES
Profit Drive reserves the right to update this Fulfilment Policy at any time. Continued use of services after changes constitutes acceptance of the revised terms.
